1. The letter of application signed by authorized signer of foreign (regional) enterprise, the contents include the brief conditions of the enterprise, the purpose for the establishment of resident representative agency, the name of the resident representative agency, accredited personnel (chief representative, representatives), business scope, term of residence, address of residence and etc.
2. The certificate of legal business opening issued by relevant competent authority where the foreign (regional) enterprise is located;
3. The articles of association or the organization agreement of the foreign (regional) enterprise;
4. Capital credibility certificate issued by financial organizations that have business relations with the foreign (regional) enterprise;
5. Document of assignment (or designation) and identity certification of resident personnel (chief representative, representatives) assigned by the foreign (regional) enterprise;
6. Document of authorization or certification of personnel entitled to signing by the foreign (regional) enterprise;
7. Resume of chief representative and general representatives and four photos with the size of 2 inches
8. Power of attorney handled by the agency through commission of the foreign (regional) enterprise, business license of the agency, power of attorney of the agency.
Note:
For industries (such as the finance industry, the insurance industry, the marine transportation industry, the sea transportation agent, the aviation transport industry and etc.) in which examination for approval is not cancelled, the applicant shall hold the document or certificate of approval granted by the examining and approving organ with the industrial and commercial bureau to apply for registration. Among them, for the application for the establishment of foreign (regional) enterprises in the finance and insurance industry, the balance sheet and the annual report of profits and losses, the articles of association of the organization, the directors’ list of the board of directors.
“The brief conditions about the enterprise” in Document “2”must include the name of the foreign (regional) enterprise, the registration address, the telephone number, business scope, the name of chairman and general manager and etc.
Item 2, 3, 4, 5, 6 should be notarized by authorized notary organ in the country or region where the foreign regional enterprise is located, and certified by Chinese embassies and consulates in the country (region).
If a Hong Kong enterprise submits the certificate for legal business opening, it shall be issued by the notary public entrusted in China by the Hong Kong enterprise, reviewed and forwarded by China Legal Service (Hong Kong) Co., Ltd. with signature and seal affixed, and the certification document shall be confirmed with attachment enclosed.
